(a)Manage all financial operations of the Project Company;
(b)Work closely with, and assist the CFO in performing his obligations;
(c)Be familiar with and administer all financial aspects of the Company's obligations under all relevant project and financing documents, including, without limitation, the:
(ii)Financing Documents (as defined in the Public Private Agreement);
(iv)Professional Services Agreement;
(v)Limited Liability Company agreements of the Company and the Holding Company; (Collectively the "Project Agreements"); and
(d)Maintain the Financial Model up to date in accordance with the Financing Documents (as defined in the Public- Private Partnership), and provide information to and assist external advisors (including the model auditor) in the rewrite of the Financial Model as needed in accordance with the Project Agreements.
Finance & Accounts
(a)Assist in establishing written standardized procedures and controls as requested, relating to Company's financial affairs and operations, including, without limitation:
(i)the safekeeping of relevant records and books of account in US GAAP and IFRS monthly;
(ii)assisting the Company's counterparties to set up their processes to facilitate reporting and invoicing to Company of monthly payment requests (including reporting of monthly payment deductions);
(iii)assisting the State of Maryland Department of Transportation (the counterparty to the Public-Private Agreement) ( "MDOT") to set up its processes to facilitate all payments to Company;
(b)Manage the year end audit of the financial statements and liaise with external auditors as required.
(c)Assist tax advisors in preparation of draft tax computations and provide any other applicable information required by external tax advisors responsible for preparing tax returns for the Company and the Holding Company, and generally liaise with tax advisers where required.
(d)Prepare finance reports for the board meetings (and at such other intervals as may be reasonably requested by the board), and as required under the Limited Liability Company Agreement of the Company.
(e)Provide any ad hoc finance-related reports that the Holding Company's Board or the Holding Company's Members may reasonably request.
(f)Management of bonds, payments to lenders and administration of equity membership units.
(g)Perform any analysis reasonably required to determine the financial impact to the Company of any Changes as defined in, and initiated in accordance with, the Public-Private Agreement.
Assist in the preparation of the annual budget as required under the Project Agreements.
Subject to the terms of the Project Agreements, the Accounting Manager shall:
(a)monitor performance by the Design-Builder and the Independent Quality Firm with their respective obligations under the Design-Build Agreement and the Professional Services Agreement to ensure compliance with payment provisions (including in respect of timing and content of monthly payment reports, reporting of deductions and non- compliance points, compliance with payment and performance mechanisms including calculation of non-availability and non-performance events);
(b)invoice MDOT for any and all amounts payable under the terms of the Public Private Agreement and administer the Financing Documentation on behalf of the Company; and
(c)prepare and assist the CFO in the submission of all financial related reports, accounts, documents and other financial related information required to be provided by the Company in accordance with the Project Agreements.
Periodic Reports and Meetings
(a)Attend monthly meetings;
(b)On behalf of the Company, prepare all finance-related information required to be included in any reports, accounts, documents and other information required to be provided by the Company in accordance with the Project Agreements;
(c)Provide from time to time or as the Company or the Holding Company might reasonably request at any time such other reports, documents and information in relation to the financial affairs of the Company or the Holding Company and use all reasonable endeavours to obtain such reports, documents and information to which the Company or the Holding Company is entitled and which are in the possession or control of any subcontractor, auditor, professional or other supplier.
(d)Preparation of all financial related reports, accounts, documents and other financial related information as may be required from time to time by the board, which will include translation of financial statements from US GAAP to IFRS.
Review all of the Company's and the Holding Company's operating systems and procedures specifically related to financial management, identify defects and problems in such systems and procedures, recommend changes and implement recommended changes on receipt of approval from the Company or the Holding Company as the case may be.
Auditors & Tax Advisers
(a)Advise on the appointment of auditors of and tax advisers and subject to approval, procure such service on behalf of the Company and the Holding Company at the Company's expense.
(b)Assist auditors and tax advisers in the performance of their duties.
(a)Bachelor Degree In Accounting. CPA is a plus.
(b)3 -5 years of relevant accounting experience (preferably P3) focusing on the above.
(c)Previous experience managing large projects
(d)Organized and attention to detail
(e)Willingness to travel.
(f)Team Player, motivated, disciplined, high work ethics.
