Summary

Support US project deployments, finance and operations in the implementation and management of contracts. With overarching compliance responsibilities, the Contracts Manager will work closely with all businesses and entities within and across the US, and is expected to interface with corporate management, legal, customers and suppliers, and public agencies.

Role and Responsibilities

  • Collaboration with legal department in administration of and compliance with contracts
  • Administration of supplier Code of Conduct and other company policies
  • Support development, negotiation and review of key contracting agreements with government and private clients, partners and subcontractors, consistent with company standards
  • Support for end-to-end activities associated with contracting for the company’s project portfolio, working closely with internal project teams and project partners
  • Active support in contracting requirements, including, but not limited to confidentiality agreements (NDA), memoranda of understanding (MOU), term sheets, engineering, procurement, and construction (EPC) agreements, operation and maintenance agreements, and ancillary documents
  • Prioritization of compliance with safety and health in all applicable contracts
  • Development and administration of enterprise contracts management platform, including intake process, internal deadline and renewal tracking for proactive actions, reporting, and maintenance of contract files in accordance with company policies
  • Training of company personnel on contracts platform intake, reporting and compliance
  • Revisions and updates to company standard sales and procurement terms and conditions
  • Analysis of complex public and private requests for proposals (RFPs) and associated responses/bids for business risk, including specification of contractual guidelines and terms and conditions for procurement
  • Serving as corporate point of contact to advise and field contract questions, review and reporting of key contracts issues for company operations, finance, administration and senior management
  • Research and analysis of significant and/or unique contract requirements, special provisions and terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit process
  • Management and implementation of contracts and template revisions, including due to changes in law, regulation and industry trends impacting business objectives
  • Preparation of formal contract correspondence to ensure compliance with contractual terms and conditions, as required for operations, finance and administration, including strategic agreements, HR, IT systems procurement and consulting, financing agreements and leasing
  • Due diligence support for mergers, acquisitions and other strategic transactions globally
  • Monitoring and compliance with licensing and registration requirements

Who we're looking for

Knowledge

  • Comprehensive understanding of contracting lifecycle, including selection, evaluation, award, and close-out of contracts
  • Understanding of proposal process and ability to provide contract and policy-compliant support and recommendations
  • Familiarity with international operations, agreements and different legal systems desired

Experience

  • Relevant applied experience conducting contracts negotiations in engineering, construction, or energy industries, including government contracting and project financing
  • At least 3-5 years overall experience with negotiation and drafting of documents ranging from EPC agreements, procurement agreements to complex commercial transactions.

Personal/Work Skills

  • Track record of integrity, even when inconvenient to business objectives
  • Able to follow and enforce company policies and standard operating procedures
  • Must be able to think unconventionally, while staying within the legal and policy lines
  • Capacity to lead on issue resolution without direct supervision
  • Very strong communication and leadership skills
  • Very strong analytical and critical thinking skills
  • Exceptional attention to detail and superior research skills
  • Very organized, ability to work under tight deadlines, and deliver on time

Education and Qualifications

  • Bachelor’s Degree and 7+ years of relevant experience performing similar roles in global contracting environment
  • Expert understanding of MS Office tools and adept with contracts and policy management platforms, including Adobe Acrobat, contracting comparison software
  • NCMA (National Contract Management Association) membership, desired
  • CPCM (Certified Professional Contract Manager) certification, desired.
